SELLER / AFFILIATE SELLER TERMS and CONDITIONS of SERVICE

This website is operated by StaalX LLC. Throughout the site, the terms “we”, “us” and “our” refer to StaalX LLC. StaalX LLC offers this website, including all information, tools and services available from this site to you, the seller or affiliate seller, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. All our seller and affiliate sellers remain user and buyers of StaalX LLC and they have to abide to Buyer/User Terms of Service. This Seller/Affiliate Seller Terms of Service is a supplemental to our User/Buyer Terms of Service.
By visiting our site and/ or listing your products on StaalX LLC, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, buyers, sellers, affiliates, customers, merchants, and/ or contributors of content.
Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.
Any new features or tools which are added to the current website shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
SECTION 1 - ONLINE STORE TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and by inviting authorized users to your company, you have given us your consent to allow any of your invitees to conduct trade, buy or sell products on behalf of you and your company.
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright or tax laws).
You must not transmit any worms or viruses or any code of a destructive nature.
You may only use our search, instant quote, check out and payment functions for legitimate intentions for selling or buying products. You must not try to reverse engineer any of our services.
StaalX LLC's e-commercial model is that buyers and sellers on the site remain anonymous to each other to avoid any marketing conflict or disclosing any sensitive stock information. Any attempts or intentions to unravel the confidentiality of buyers and sellers are prohibited. Violators will be subject to cancellation of their seller’s authorization and may be barred selling on StaalX LLC.
A breach or violation of any of the Terms will result in an immediate termination of your Services.
We reserve the right to refuse service to anyone for any reason at any time.
SECTION 2 - GENERAL CONDITIONS
Seller Responsibilities
Only reputable and reliable sellers are allowed to list products on StaalX. Sellers are required to maintain their available inventory on StaalX website and list only accurate quantities, conditions and prices. In addition to agreeing to the seller terms and conditions, StaalX may require additional information from potential sellers for their vetting and onboarding process.
Listing of Inventory:
Seller shall list only ready to ship and available inventory on StaalX. Buyers are able to purchase items up to two weeks for delivery, therefore upon confirmation of the order, seller shall reserve price and availability of the item up to two week (14 consecutive calendar days). Seller is solely responsible of maintaining accurate quality, quantity, origin, condition description of the products they are listing. Under no circumstances seller should actively list products that are out of stock or in route. If seller cannot fulfill any orders due to lack of stock, StaalX will fulfill the order with the best available prices from other suppliers and charge the difference in cost to seller for failing to fullfill their order. Other penalties for failing to fulfill orders may apply, including losing access to StaalX as a seller.
Seller must promptly advise StaalX any issues outside of their control they discover with any orders that has been placed and participate in remedy of the issue.
Seller to enter the condition of the items according to StaalX's standard rebar conditions
Product Pickup:
StaalX will arrange trucking to pick up the order from seller's warehouse as early as within 24 hours for working days, excluding public holidays. Sellers can advise StaalX their usual turnaround time if they cannot accomodate 24 hours turnaround for loading an order. Seller to enter warehouse contact and pick up instructions on the warehouse details in their profile and reply to pickup appointments and other pickup queries promptly and fully. Seller to provide proper heavy equipment for handling loading the trucks (overhead cranes, forklifts) and experienced operators to complete unloading in a safe manner.
Truck wait times not to exceed 2 hours to be loaded. Additional wait times will be billed $75 /hour and will be deducted from the payment. Seller to be able to load full or partial loads.
Documents:
Seller to upload shipping documents, bill of lading, mill test reports (unless selling as "No Grade") for the products shipped. No payments to seller can be made before the product documents are uploaded to the site.
Evidence of Shipment and Condition:
In order to minimize the claims risk, seller to take and upload at least 3 digital pictures of the loaded truck, one each from both sides of the truck - with full view of the products loaded, and another one from the behind of the truck, with number of bundles clearly visible.
Payment:
StaalX to wire transfer or mail a check to seller before the shipment takes place from seller's warehouse unless seller provides payment terms to an agreed days for deferred payment after the shipment. If seller requires credit approval for the short duration between pickup and payment date, StaalX will provide credit references and details for credit approval. If the purchase amount exceed sellers’ credit approval amount, StaalX will wire transfer the amount prior to pickup date.
Warranties, Claims and Returns:
Seller to give full warranties for the products and carry appropriate product liability insurance for the products sold to StaalX.
StaalX will notify seller no later than two weeks after the delivery in case there is a buyer claim. StaalX will investigate the claim in fairness and at our sole discretion may conduct independent survey. Upon conclusion of the investigation, in case rebar condition for sale is not accurately identified by seller, seller shall refund the claim amount and accept the products back in case of a buyer's return. Seller will refund the buyer of the transportation to and from the buyer. Evidence of claim in terms of pictures and/or survey reports to be shared with seller.
Seller to carry sufficient amount product liability insurance and provide to StaalX upon request.
Cancellations:
Seller shall accept buyer cancellations up to two weeks from the order placement date provided the shipment hasn't yet taken place.
Affiliate Seller Responsibilities
By becoming affiliate seller, you can create a cart with a delivery location and send the quote to a potential buyers by utilizing system generated quotes or simply sending the generated link within your e-mail or text messaging.
Affiliate sellers may not knowingly send unwelcomed quotes and e-mails to potential buyers. The site may not be used by means of spam or as perceived as spam by the recipient of the quotes. Affiliates may only send quotes to truly interested products buyers. Any other intention of use of quotes are strictly prohibited.
Under no circumstances affiliate sellers may send quotes to companies they are affiliated with or employees of. Affiliates must avoid any conflict of interest in their conduct and any unethical behavior.
Violator of affiliate seller terms is subject to termination and ban from the site.
How Affiliate Program works
We electronically track quotes/carts sent by our affiliates and if the cart is purchased, affiliate seller will earn a commission from the sale. Affiliate sellers will be notified of the sale and will be able to track other quotes on the site.
Carts sent to buyers do not guarantee price and availability of the products listed in the cart. If there are any changes, those changes will be reflected on an updated cart. Carts will automatically expire in two weeks after they are sent.
Commission amounts are determined from the gains of the sale, but no less than $3 per short tons even if there are no gains. Commissions will be determined based on profit sharing at the full discretion of StaalX and will be disclosed upon completion of order and payment by the buyer.
We reserve the right to change conditions of affiliate program anytime.
SECTION 3: COMPLIANCE TO USER / BUYER TERMS OF USE and SERVICE
Above are the specific Terms of Service for Sellers and Affiliate Sellers. All Seller and Affiliate sellers must comply with the USER / BUYER Terms of Service for all other conditions.
